Business Counsel
The candidate will report to the Law Vice President. Will provide guidance to specified areas of company's businesses on a range of legal matters. Responsibilities will include: drafting contracts and license agreements, with emphasis on software and technology products and services; review of NDAs; drafting website documentation, consumer Terms of Service, Privacy Policies and Disclaimers; providing compliance guidance related to state and federal laws; assisting in developing contract templates enabling compliance with contractual obligations; playing a proactive business partner role and building a trusted advisor relationship with the product management and operational teams and developing and presenting relevant internal training materials; monitoring and advising on applicable regulations and legislation; and taking preemptive measures to avoid legal risks, conflicts and issues relevant to the businesses supported. Partner with business clients to structure, draft and negotiate contracts with customers, distributors, suppliers, licensors and licensees, and others. Exercise judgment in advising business clients on contract interpretation and on customer, consumer and supplier disputes (pre-litigation). Work with others internally such as marketing, product management, product development, pricing, and finance, along with legal subject matter experts in house and externally, to develop legal approaches and programs to support new business initiatives. Apply in depth knowledge of business to assist in diligence and identify risks with potential merger and acquisition targets, and to take a lead role in integration of acquired businesses. Provide legal guidance to contract managers on an escalation basis. Develop and revise standard template agreements for use by the contract managers and business clients. Maintain in-depth knowledge of company's procedures, processes and policies.Estimated Salary: $20 to $28 per hour based on qualifications.
